CODE OF ETHICAL AND PROFESSIONAL CONDUCT

1. Introduction

Integrity, transparency and responsibility are the foundations on which Artema Concept builds its activity. This Code of Ethical and Professional Conduct establishes the principles, expected behaviors and monitoring mechanisms for all persons involved in the company's activity: employees, collaborators, suppliers, partners and representatives.

The code is inspired by international best practices and aligns with:

  • UN Global Compact Principles (Points 10: Anti-corruption, 1-6: Human rights and labor)

  • ISO 26000 standard on social responsibility

  • European directives on ethical compliance and corporate governance


2. Scope

The code applies to all:

  • Employees with individual employment contracts

  • Collaborators and service providers

  • Suppliers and subcontractors who come into contact with the company

  • Legal representatives, consultants and public image representatives for Artema

Compliance with this Code is mandatory and conditions the continuation of any commercial or contractual relationship with the company.


3. Fundamental principles

3.1 Integrity

  • We behave ethically in all professional actions

  • We make the right decisions even in the absence of direct supervision

  • We reject any form of bribery, fraud, favoritism, manipulation or conflict of interest.

  • Any suspicion of corruption is reported immediately through confidential channels.

3.2 Respect and dignity

  • We do not tolerate any type of harassment, discrimination or abuse of power.

  • We promote a culture of inclusion, diversity and gender equity

  • All working relationships are based on mutual respect, professionalism and empathetic support

3.3 Professional responsibility

  • We take responsibility for the results of our own work and the teams we are part of.

  • We respect deadlines, promises and quality of deliverables

  • We communicate openly, clearly and respectfully in all professional relationships.

3.4 Privacy and data protection

  • We treat all personal, commercial and technical data with the utmost discretion.

  • We comply with GDPR legislation and do not disclose confidential information.

  • Copying or sharing internal documents without authorization is prohibited.

3.5 Loyalty and public image

  • Any Artema Concept representative has the obligation to promote the brand's image with professionalism.

  • Public comments that may harm the company's image are prohibited

  • Official communication is carried out only by designated persons


4. Relationship with suppliers and partners

  • We request the signing of this Code by all suppliers and contractual partners

  • We evaluate suppliers and collaborators not only according to commercial criteria, but also according to ethical compliance, working conditions offered to employees and sustainability of processes.

  • We terminate any contractual relationship with entities that:

    • Exploits employees or practices forced/illegal labor

    • Does not respect human rights or environmental legislation

    • They are involved in corruption, evasion or other criminal activities

  • We strongly oppose any form of illegal, unsecured or hidden subcontracting.


5. Avoiding conflicts of interest

  • Employees are required to declare any situation in which their personal interests may influence professional decisions.

  • Not allowed:

    • Collaborations with close relatives without transparency

    • Obtaining personal advantages in exchange for favoring a partner

    • Participation in decision-making regarding projects in which the person has a direct interest

  • Gifts, invitations, sponsorships or favors must be evaluated and approved in advance if they may influence decision-making objectivity.


6. Prevention of corruption and fraud

  • We adopt a zero-tolerance policy towards corruption, bribery, embezzlement or manipulation of procedures

  • Any attempted fraud must be reported immediately.

  • We apply firm sanctions, including contract termination and notification to the competent authorities.

  • We have an obligation to protect whistleblowers who report serious facts


7. Reporting channels and internal investigation

Reports can be made:

  • By email to: etica@artema-concept.com (confidential internal channel)

  • Directly to the company founder or CSR manager

  • Investigations are conducted with maximum discretion, without repercussions on the whistleblower.

  • The official response and any measures are communicated within a maximum of 15 working days.


8. Monitoring, training and compliance

  • The code is:

    • Signed at the beginning of each collaboration

    • Part of the onboarding package for new employees

    • Reconfirmed annually, through a short internal training (physical or digital)

  • The Ethics and CSR Officer (currently: Elena Artene) monitors the application of the code

  • Failure to comply with the provisions entails contractual and disciplinary liability.


9. Publication and update

  • The code is published on the company's website and can be requested at any time by partners.

  • It is reviewed annually, depending on the evolution of regulations, risks and market context.
